Terms of Service

These terms are the agreement between you and Manuscriptly for using manuscriptly.net and the Manuscriptly application. They are written to be readable; the short version is that your manuscript stays yours, the audit is a tool that assists you rather than replaces your judgement, and payments run through our merchant of record.
The agreement
Manuscriptly ("we", "us") operates this service. By creating an account or using the service you accept these terms, our Privacy Policy and our Refund Policy. If you do not accept them, please do not use the service.
The service
Manuscriptly audits an academic manuscript you upload (as a DOCX file) against the submission guidelines of a target journal you choose, and returns findings with suggested edits you can accept or reject before exporting your document. A free preview shows part of an analysis; full results are unlocked with a purchase or subscription as described on the pricing page.
Your account
- You need an account to use the service; sign-in runs through Auth0, including sign-in with Google.
- Keep your sign-in credentials secure. Activity under your account is your responsibility.
- Provide accurate account information and keep it current.
- You must be at least 18 to use the service.
Your manuscript stays yours
You keep all intellectual property rights in every manuscript and file you upload and in the exported result. You grant us only the licence needed to operate the service: storing your files, running the audit you request, and showing you the results. We never sell your manuscript, share it for advertising, or use it to train AI models, and it is processed only by the providers listed in the Privacy Policy.
You are responsible for having the rights to upload what you upload, including your co-authors' agreement where their work is involved.
AI-generated output
Audit findings and suggested edits are generated by an AI system. That means:
- They can be wrong, incomplete, or out of date, and they may miss requirements a journal enforces.
- They are suggestions, not professional, legal or publishing advice. Review every finding and every suggested edit before accepting it.
- You are responsible for the final document you export and for what you submit to any journal.
- We do not guarantee that a manuscript that passes our audit will be accepted by, or comply with the requirements of, any journal.
Acceptable use
Do not:
- break the law, infringe others' rights, or upload content you have no right to use,
- upload malicious files or attempt to compromise, overload or disrupt the service,
- reverse engineer the service, scrape it, or resell access to it,
- circumvent usage limits, free-tier boundaries or payment, or
- use the service to build a competing dataset or train models on our output at scale.
Plans, payment and fees
Payments are processed by Lemon Squeezy as merchant of record; your purchase is subject to their checkout terms as well as these. Current prices, plans and included usage are shown on the pricing page at the time you buy.
- Per-paper purchases unlock the full results of one manuscript analysis.
- Subscriptions renew automatically each billing period until cancelled; included credits carry over as described on the pricing page.
- Prices may change; changes apply from your next purchase or renewal, never retroactively, and we will tell you before a renewal price changes.
- Taxes are handled by Lemon Squeezy at checkout where applicable.
Refunds and cancellation
You can cancel a subscription at any time and keep the credits you have already received. Refunds, including full refunds before results are unlocked and pro-rata refunds of unused subscription credits, are governed by our Refund Policy. Nothing in these terms limits your rights under the Australian Consumer Law or other consumer protection laws that apply to you.
Our intellectual property
The Manuscriptly software, site, brand and content (other than your manuscripts) are ours or our licensors' and are protected by intellectual property laws. If you send us feedback or suggestions, we can use them to improve the service without obligation to you.
Third-party services
Parts of the service rely on third parties, like Auth0 and Google for sign-in and Lemon Squeezy for checkout, and the site may link to external sites such as journal pages. Those services have their own terms, and we are not responsible for their content or conduct.
Suspension and termination
You can stop using the service or ask us to close your account at any time; deletion of your data then follows the Privacy Policy. We may suspend or terminate access if you materially breach these terms, misuse the service, or where we must for legal or security reasons, and we will tell you why unless the law prevents it. Paid entitlements affected by a termination that is not your fault are handled under the Refund Policy.
Disclaimers and liability
To the extent the law allows, the service is provided as is and we exclude implied warranties; we do not promise the service will be uninterrupted or error free. Nothing in these terms excludes, restricts or modifies consumer guarantees under the Australian Consumer Law or any other rights the law does not let us limit; where a guarantee cannot be excluded, our liability is limited to resupplying the service or refunding the amount you paid for it, where the law permits that limitation.
Otherwise, our total liability for claims connected to the service is capped at the amount you paid us in the twelve months before the claim arose, and neither of us is liable to the other for indirect or consequential loss. You are responsible for the consequences of submitting a manuscript to a journal.
Changes to the service and these terms
We keep improving the service and may add, change or retire features. If we materially change these terms we will update the date at the top and notify you by email or in the app before the change takes effect; continuing to use the service after that means you accept the new terms.
Governing law
These terms are governed by applicable law. Nothing here limits the consumer-protection rights of your place of residence, including any right to bring a claim there.
General
If part of these terms is found invalid, the rest still applies. Not enforcing a term is not a waiver of it. You may not assign these terms without our consent; we may assign them as part of a business transfer, with notice to you. These terms, the Privacy Policy and the Refund Policy are the entire agreement between us about the service.
